1. ACCEPTANCE OF TERMS

By accessing or using Watchly ("Service"), operated by Watchly Inc., a company incorporated under the laws of Quebec, Canada, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users of the Service, including parents, guardians, and any authorized users of family accounts.

IMPORTANT NOTICE: These Terms constitute a contract of adhesion under the Civil Code of Quebec. You have the right to review these Terms before accepting them. By using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. SERVICE DESCRIPTION

Watchly is a parental control platform that allows parents and guardians to curate YouTube video content for their children. The Service provides tools for parents to select, organize, and manage YouTube videos in custom libraries that children can access through supervised profiles.

IMPORTANT: Watchly is NOT a content producer. We do not create, produce, upload, or host any video content. All videos accessible through our Service are sourced from YouTube via the YouTube Data API. We are solely a curation and management tool that helps parents control which YouTube videos their children can access.

3. CONTENT DISCLAIMER AND LIABILITY

WATCHLY IS NOT LIABLE FOR ANY VIDEOS ADDED TO A CHILD'S LIBRARY. Parents and guardians are solely responsible for reviewing, evaluating, and approving all content before adding it to their children's libraries. We do not review, endorse, approve, or guarantee the appropriateness, accuracy, safety, or quality of any YouTube content.

You acknowledge and agree that:

• All video content is provided by YouTube and third-party content creators
• Watchly has no control over the content, quality, or appropriateness of YouTube videos
• Parents must preview and approve all content before adding it to children's libraries
• Content on YouTube may change, be removed, or become unavailable at any time
• Watchly is not responsible for any content that may be harmful, inappropriate, inaccurate, or offensive
• You assume all risks associated with the content your children access through the Service

4. USER ACCOUNTS AND REGISTRATION

To use the Service, you must create an account with accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring that your account information is current and accurate

You must be at least 18 years old (the age of majority in Quebec) to create an account. Accounts are intended for use by parents or legal guardians to manage content for their children.

5. SUBSCRIPTION, BILLING AND CANCELLATION RIGHTS

The Service requires a paid subscription. By subscribing, you agree to:

• Pay all applicable fees according to your selected subscription plan
• Provide valid payment information
• Authorize us to charge your payment method on a recurring basis
• Be responsible for all charges incurred under your account

CANCELLATION RIGHTS UNDER QUEBEC LAW: In accordance with the Quebec Consumer Protection Act:

• You have the right to cancel your subscription at any time without penalty
• You may cancel this contract within 7 days of entering into it without any reason or penalty
• To cancel, contact us at support@watchlyplayer.com or through your account settings
• Upon cancellation, you will continue to have access until the end of your current billing period
• No refunds will be provided for partial subscription periods, except as required by law

Subscription fees are processed through Stripe, a third-party payment processor. Your subscription will automatically renew unless cancelled before the renewal date.

6. PARENTAL RESPONSIBILITIES

As a parent or guardian using the Service, you acknowledge and agree that:

• You are solely responsible for selecting appropriate content for your children
• You must preview all videos before adding them to your children's libraries
• You are responsible for monitoring your children's use of the Service
• You must ensure that content complies with your personal standards and values
• You are responsible for setting appropriate viewing limits and restrictions
• Watchly is a tool to assist you, but does not replace parental supervision

7. CHILD PROTECTION AND PRIVACY COMPLIANCE

We are committed to protecting children's privacy in compliance with applicable laws including:

• Quebec's Act respecting the protection of personal information in the private sector (Law 25)
• The Personal Information Protection and Electronic Documents Act (PIPEDA)
• The Children's Online Privacy Protection Act (COPPA) for US users

In Quebec, parental consent is required for users under 14 years of age. We do not knowingly collect personal information directly from children without parental consent. Child profiles created within the Service are managed entirely by parents or guardians.

Parents maintain full control over:

• Creation and management of child profiles
• Information associated with child profiles
• Content accessible to each child profile
• Viewing history and activity data

8. ACCEPTABLE USE POLICY

You agree not to use the Service to:

• Violate any laws or regulations of Canada, Quebec, or your jurisdiction
• Infringe upon the rights of others
• Attempt to circumvent security features
• Share account credentials with unauthorized users
• Use automated systems to access the Service
• Interfere with or disrupt the Service
• Reverse engineer or attempt to extract source code

9. INTELLECTUAL PROPERTY

The Service, including its design, features, and functionality (but excluding YouTube content), is owned by Watchly Inc. and protected by Canadian and international intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express permission.

All YouTube content remains the property of the respective content creators and is subject to YouTube's Terms of Service.

10. THIRD-PARTY SERVICES

The Service integrates with third-party services including:

• YouTube (for video content)
• Stripe (for payment processing)

Your use of these third-party services is subject to their respective terms and conditions and privacy policies. We are not responsible for the practices or content of third-party services.

11. WARRANTIES AND LIMITATION OF LIABILITY

LEGAL WARRANTIES: Under Quebec law, the Service is provided with the legal warranties set out in the Consumer Protection Act and the Civil Code of Quebec, which cannot be excluded. However, to the extent permitted by law, we disclaim all other warranties, express or implied.

LIMITATION OF LIABILITY: To the maximum extent permitted by applicable law, including the Consumer Protection Act of Quebec:

• Watchly shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim
• These limitations apply even if we have been advised of the possibility of such damages
• Some jurisdictions do not allow certain limitations, so some of the above may not apply to you

SPECIFIC EXCLUSIONS: We are not liable for:

• Content accessed through the Service
• Actions of third-party content creators
• Loss of data or interruptions to the Service
• Unauthorized access to your account due to your negligence

12. INDEMNIFICATION

Subject to the limitations imposed by Quebec consumer protection laws, you agree to indemnify, defend, and hold harmless Watchly Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Content you add to children's libraries
• Your violation of any rights of another party

13. TERMINATION

We may terminate or suspend your account for violation of these Terms or for any other reason at our discretion, subject to applicable law. You may terminate your account at any time through your account settings or by contacting us.

Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account data after a reasonable retention period
• You remain liable for any outstanding charges
• Provisions that by their nature should survive termination will remain in effect

14. DISPUTE RESOLUTION AND GOVERNING LAW

GOVERNING LAW: These Terms shall be governed by and construed in accordance with the laws of Quebec and the federal laws of Canada applicable therein, without regard to conflicts of law principles.

DISPUTE RESOLUTION: Any dispute arising from these Terms or your use of the Service shall be resolved through the following process:

• Negotiation: First, we will attempt to resolve disputes through good faith negotiation
• Mediation: If negotiation fails, either party may request mediation through a mutually agreed mediator in Montreal, Quebec
• Court Proceedings: If mediation fails, disputes shall be submitted to the courts of Quebec, in the judicial district of Montreal
• Small Claims: For claims under $15,000 CAD, you may pursue your claim in Quebec's Small Claims Court

CLASS ACTION WAIVER: To the extent permitted by law, you waive any right to commence or participate in any class action against Watchly related to the Service.

15. CHANGES TO TERMS

We may modify these Terms at any time. We will notify you of material changes at least 30 days in advance by:

• Email notification to your registered email address
• Prominent notice within the Service
• Updating the "Last Updated" date at the top of these Terms

Your continued use of the Service after the effective date of changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

16. MISCELLANEOUS

Entire Agreement: These Terms constitute the entire agreement between you and Watchly regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
